Terms and Conditions

The services

Helium provides AI tools that help brands generate marketing creatives and related content from information you provide, such as a store URL, catalog, and brand assets. Features, availability, and output may change. We do not guarantee any particular business result, ranking, conversion rate, or advertising performance.

Accounts

You must provide accurate information and keep your account secure. You are responsible for activity under your account. Notify us promptly at hello@gethelium.co if you believe your account has been compromised.

If you authenticate with a mobile number, you represent that you are the subscriber or customary user of that number and that you are authorized to receive WhatsApp messages at that number.

WhatsApp authentication

Mobile-number login and signup work as follows: you visit https://app.gethelium.coand enter your number to receive an OTP on WhatsApp. Submitting your number is your agreement to receive those authentication messages.

Message frequency varies. Message and data rates may apply if a message is delivered over SMS. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

To stop SMS fallback messages, reply STOP. You may receive a one-time confirmation. For help, reply HELP or email hello@gethelium.co. After opting out we will not send further SMS messages unless you opt in again through the login or signup flow.

Acceptable use

You agree not to:

• Use the services in a way that violates law, these Terms, or the rights of others.
• Upload or generate content you do not have the right to use, including another brand’s trademarks or a person’s likeness without authorization.
• Attempt to access other users’ accounts, interfere with the services, or reverse engineer the product except where the law allows.
• Send spam or unsolicited messages, or use Helium authentication messages for any purpose other than the one-time passwords described here.
• Misrepresent the origin of generated creatives in a way that is deceptive or unlawful.

Your content and generated output

You retain rights in the store information, assets, and other content you provide (“Customer Content”). You grant Helium a license to host, process, and use Customer Content as needed to provide and improve the services.

Subject to these Terms and your payment of applicable fees, we assign to you the creatives generated for you from your Customer Content (“Output”), excluding Helium’s underlying models, software, and product. You are responsible for reviewing Output before you publish or run ads with it, including legal, brand, and platform-policy review.

Output may not be unique. Similar requests can produce similar results for other users.

Fees and payment

Some features require payment. Prices are shown in the product before you buy. Fees are charged through our payment processor. Except where required by law, payments are non-refundable once Output has been generated. We may change prices with notice through the product or by email.

Disclaimers

The services and Output are provided “as is” and “as available.” To the fullest extent permitted by law, Helium disclaims warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that Output will meet your requirements or be free of third-party claims.

Limitation of liability

To the fullest extent permitted by law, Helium and its affiliates, officers, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of these Terms or the services.

Helium’s total liability for all claims in the aggregate will not exceed the greater of (a) the amounts you paid to Helium for the services in the three months before the claim or (b) one hundred US dollars. These limits apply even if a remedy fails of its essential purpose.

Indemnity

You will defend and indemnify Helium against claims, damages, and expenses arising from your Customer Content, your use of Output, or your violation of these Terms or applicable law.

Termination

You may stop using the services at any time. We may suspend or end access if you breach these Terms, if required by law, or if we discontinue the services. Provisions that by their nature should survive — including authentication opt-out records, intellectual property, disclaimers, limits of liability, and indemnity — will survive.

Changes

We may update these Terms. The “Last updated” date will change when we post a revision. Continued use after the update means you accept the revised Terms. If you do not agree, stop using the services.

General

These Terms are the entire agreement between you and Helium for the services and replace prior agreements on the same subject. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale.

These Terms are governed by applicable law. Courts of competent jurisdiction will hear disputes except where prohibited by law.
